The Accelerating Success Marketplace is an online platform that facilitates the exchange of digital educational resources between teachers and users. Teachers can upload, publish, and sell their educational resources, and users can browse, purchase, and download these resources.
User Obligations
2.1 User Accounts
To access and use certain features of the Platform, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and are solely responsible for all activities that occur under your account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
2.2 Compliance with Laws and Policies
You agree to comply with all applicable laws, regulations, and third-party agreements while using the Platform. You shall not use the Platform for any illegal, harmful, or unauthorized purposes, including but not limited to infringing upon intellectual property rights, transmitting viruses or malicious code, or engaging in fraudulent activities.
Teacher Responsibilities
3.1 Resource Uploads
As a teacher on the Platform, you represent and warrant that you own or have the necessary rights, licenses, and permissions to upload and sell the educational resources you provide. You retain all ownership rights to your uploaded resources but grant the Platform a non-exclusive, worldwide, royalty-free license to host, display, distribute, and promote your resources through the Platform.
3.2 Resource Accuracy and Legality
You are responsible for ensuring the accuracy, quality, and legality of the resources you upload to the Platform. You shall not upload or sell resources that are misleading, false, infringing, or violate any intellectual property rights, privacy rights, or other applicable laws.
Intellectual Property Rights
4.1 Platform Content
The content available on the Platform, including but not limited to text, graphics, logos, images, and software, is owned by or licensed to the Platform. Such content is protected by copyright, trademark, and other intellectual property laws. You may not use, modify, reproduce, distribute, or create derivative works of any content on the Platform without prior written permission from the Platform or the respective intellectual property rights holders.
4.2 Teacher Resources
Teachers retain all ownership rights to their uploaded resources. By uploading resources to the Platform, teachers grant users who purchase the resources a limited, non-exclusive license to use, reproduce, and modify the resources for educational purposes only. Users may not distribute or sell these resources to third parties.
Payments and Fees
5.1 Resource Pricing
Teachers may set their own prices for the resources they upload to the Platform. The Platform may provide guidance on pricing, but teachers have the final decision.
5.2 Payments and Commission
The Platform will handle the processing of payments from users who purchase resources. The Platform will retain a commission, as agreed upon separately with the teacher, for each transaction. The teacher will receive the remaining portion of the payment.
5.3 Product uploading/ listing by Vendors
Intellectual Property Rights: By uploading the selected material the vendor certify that they have read and agree to the Teachers Pay Teachers terms of service and that the selected material does not infringe the copyrights, trademark rights, or any other rights of any third party, and:
The vendor attest that this product I am about to post is an original work and it does not infringe upon the Intellectual Property rights of others.
I vendor attest that they have used copyrighted and/or trademarked materials in their product and it does not infringe upon the Intellectual Property rights of others. They have either received express permission to use such materials, or they hereby certify that the use of such materials is otherwise non-infringing, for example as a fair use.
Disclaimer of Warranties
The Platform is provided on an “as is” and “as available” basis, without any warranties or representations, either expressed or implied. The Platform does not warrant the accuracy, completeness, or reliability of any content on the Platform. Your use of the Platform is at your sole risk.
Limitation of Liability
To the maximum extent permitted by applicable law, the Platform and its affiliates, officers, directors, employees, and agents shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Platform, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, even if advised of the possibility of such damages.
Termination
The Platform reserves the right to suspend or terminate your access to the Platform at any time, with or without cause. Upon termination, your right to access and use the Platform will cease immediately.
Modifications to the Terms
The Platform reserves the right to modify these Terms at any time. We will provide notice of any material changes to these Terms through the Platform or via email. Your continued use of the Platform after the effective date of the modified Terms constitutes your acceptance of the modifications.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of The United States of America. Any disputes arising out of or relating to these Terms or your use of the Platform shall be exclusively resolved in the courts of The United States of America.
